SFi Event Ticketing Terms and Conditions

This document sets out the terms and conditions (the "Terms" or these “Terms”) on which Sustainable Finance Initiative Limited ("SFi", "we", "our" or "us") sells tickets to events organised by SFi.
By purchasing a ticket ("Ticket") to any SFi event (the "Event"), you agree to be bound by these Terms.
Definitions and Interpretation
“Business Day” means a day, other than a Saturday, Sunday or public holiday in Hong Kong Special Administrative Region, when banks are open for business;
“Event” means any event, conference, summit, salon, roundtable or other gathering organised by SFi, including but not limited to the SFi Impact Summit and related SFi Impact Week activities;
“Force Majeure Event” means an event affecting the performance by a Party of its obligations hereunder arising from events beyond its reasonable control, including, but not limited to, natural or weather-related disasters (such as typhoons, floods or earthquakes), civil disturbances, health emergencies (such as epidemics or pandemics), war or terrorism, imposition of sanctions, embargo, naval blockade, or breaking off diplomatic relations, government restrictions, strikes (including labour disturbances), major transport or utility failures, closure, restriction or disruption of critical maritime corridors, shipping routes or transportation infrastructure, cyberattacks, or serious supply chain disruptions.
"Registration Form" means the online or offline form through which you register for and purchase a Ticket;
"Ticket" means a valid ticket to attend an Event, whether purchased individually or as part of a group booking;
"Ticket Holder" means the person named on the Ticket or, where applicable, their nominated delegate;
"you" or "your" means the person purchasing the Ticket or, where applicable, the Ticket Holder.
Unless the context otherwise requires, words in the singular shall include the plural and words in the plural shall include the singular.
A reference to legislation or a legislative provision is a reference to it as amended, extended or re-enacted from time to time.
Any words following the terms “including”, “include”, “in particular”, “for example” or any similar expression shall be interpreted as illustrative and shall not limit the sense of the words preceding those terms.
Clause headings shall not affect the interpretation of these Terms.
Scope and Application
These Terms apply to all Tickets purchased for any Event organised by SFi.
Where you purchase Tickets on behalf of employees, representatives or delegates, such persons will be bound by these Terms and you agree to procure their compliance with, and be fully responsible for their non-compliance with, these Terms.
By completing a Registration Form and/or purchasing a Ticket and/or attending an Event, you agree to be bound by these Terms to the exclusion of all other terms.
By purchasing a Ticket, you represent and warrant that you have the legal capacity and authority to enter into a binding agreement on these Terms. Where you are purchasing Tickets on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
Event Attendance Conditions
As a condition of attending any Event, all Ticket Holders must and agree to:

bring suitable personal identification, as security checks may be carried out at our discretion;
-
comply with all reasonable instructions issued by SFi or the venue owners at the Event;
-
follow all health and safety measures and protocols, including any requirements relating to public health matters. Such requirements will be communicated to registered participants in advance of the Event. SFi may refuse entry to anyone who fails to follow such measures;
-
abide by any venue-specific terms made available from time to time, or publicly posted at the venue of such Event.
SFi may, at its sole discretion, refuse admission to or eject from any Event any person who:
-
fails to comply with these Terms;
-
in SFi's reasonable opinion, represents a security risk, nuisance or annoyance to the conduct of the Event;

possesses or displays any prohibited material, or engages in prohibited behaviour, each as set out in the Prohibited Material and Behaviour Clause .
If SFi denies entry or requires you to leave an Event, you will not receive a refund.
By attending an Event, you acknowledge and accept that attendance at large-scale events carries inherent risks, including but not limited to risks of illness, injury, property damage, or loss. You voluntarily assume all such risks to the fullest extent permitted by applicable law. This acknowledgment does not limit SFi’s liability under Limitation of Liabilty.
Booking, Payment and Ticket Validity
All registration is subject to SFi's final approval. If we are unable to validate your credentials at the point of registration, you will be notified, and you may be denied entry into the Event, or your registration may be invalidated.
Ticket Characteristics

Each Ticket admits one person only and is non-transferable except in accordance with Transfer of Tickets Clause.

Tickets are valid once SFi has received your payment and issued your Ticket(s). For events that are designated as free, your Ticket is valid as soon as it is issued by SFi;

Tickets expire immediately after the Event has ended.
Fees and Discounts
-
All fees for Tickets are payable in Hong Kong Dollars unless otherwise specified;

All advertised concessions and discounts are subject to availability. SFi reserves the right to vary or discontinue any concession or discount at any time without notice;
-
Event registration is subject to availability and may close earlier than any posted deadline, as determined at SFi's sole discretion.
Changes to Events
SFi reserves the right to change, modify, or alter any aspect of an Event, including but not limited to:
-
the programme, agenda, speakers, venue, dates, and timings of the Event; and
-
to cancel, suspend, interrupt or postpone the whole or any part of the Event.
SFi will endeavour to update the relevant Event website to reflect any material changes to an Event. Where changes are determined by SFi (in its reasonable opinion) to be material, SFi will endeavour to provide you with such notice as is reasonably practicable.
You acknowledge and agree that:

Event activities and speakers may be changed for reasons including those outside of SFi's control;
-
such changes shall not entitle you to any claim for compensation or other remedy whatsoever, including any refund, subject to your rights under Cancellation and Refunds Clause.

descriptions of activities or speakers in Event promotional materials are for informational purposes only and do not represent the importance or status of any activity or speaker, and are subject to change without notice.
Cancellation and Refunds
You may cancel your Ticket only in accordance with this Clause.

You are eligible for a refund if you request cancellation at least thirty (30) days before the Event commencement date, subject to SFi retaining an administration charge of five percent (5%) of the Ticket price.

If you request cancellation within thirty (30) days of the Event commencement date, there will be no refund.

All cancellation requests must be sent by email to events@sustainablefinance.hk. Telephone cancellations are not accepted. Any cancellation shall be determined at the sole discretion of SFi.

Any refund under this Clause is your sole remedy (and SFi's sole liability) in respect of your cancellation, and all other liability is expressly excluded.
If SFi decides to suspend, delay, postpone or cancel an Event for any reason:
-
SFi will make an announcement as soon as reasonably practicable via email and on the Event website;

In the case of full cancellation: You will be entitled to a full refund of the price of your Ticket, with no administration charge retained. All refunds will be processed within thirty (30) Business Days of the cancellation announcement;
-
In the case of postponement to alternative dates: You may choose to either:
-
(a) Transfer your registration to the new Event date(s) at no additional cost; OR
-
(b) Request a full refund of all fees paid, with no administration charge retained;

You must notify SFi of your choice under this Clause in writing via email within fourteen (14) days of SFi's postponement announcement. Failure to notify SFi will result in automatic transfer of your registration to the new Event date(s);

Limitation of Liability: Notwithstanding the above, SFi's liability to you in the event of cancellation or postponement shall be limited to the refund of your Ticket price. SFi accepts no liability for any consequential losses, costs or expenses incurred by you including but not limited to travel, accommodation, or other arrangements made in connection with your attendance. You are strongly advised to obtain appropriate travel insurance.
Transfer of Tickets
Ticket Holders may transfer their Ticket to another individual from their organisation (at no additional cost), subject to SFi's approval, up to seven (7) calendar days prior to the Event by sending an email request to events@sustainablefinance.hk. Failure to do so within this timeframe may result in the replacement attendee being ineligible to attend the Event.
You may not purchase Tickets as an agent for any third party or advertise, re-sell or otherwise transfer your Ticket to others without the explicit prior written consent of SFi.
Visa Requirements
It is your sole responsibility to ensure that you can attend the Event, including ensuring that you fulfil the appropriate passport, visa, quarantine and insurance requirements.
If you require a visa to attend an Event, you are solely responsible for obtaining that visa. You are reminded to plan for sufficient time for the visa application procedure.
Subject to Cancellation and Refund Clause, non-attendance at an Event due to failing to obtain a visa will not be considered valid grounds to obtain any refund in connection with the purchased Ticket.
To receive an invitation letter for visa application purposes in connection with an Event, you must first register and pay for your Ticket in full. You may then request an invitation letter by sending an email to events@sustainablefinance.hk. SFi will endeavour to provide an invitation letter but will not be liable for any delays in the issuance thereof.
Prohibited Material and Behaviour
We prohibit the following from the Event:
-
illegal drugs, substances or materials;
-
any politically sensitive materials;
-
any other item which (in SFi’s opinion) interferes with the safety or effective operation of the Event.
Alcohol may only be consumed in public bars and other authorised areas. Smoking is not permitted unless within a designated smoking area (if any).
We prohibit the following behaviour at our Events:
-
unauthorised photography or use of recording equipment and zoom lenses, audio visual or cinematographic devices;
-
unauthorised merchandising;
-
physical or verbal harassment relating to differences in gender, gender identity and expression, sexual orientation, disability, physical appearance, body size, race, age, religion, sexual images in public spaces, intimidation, stalking, following, harassing photography or recording, sustained disruption of talks or other events, inappropriate physical contact, and unwelcome sexual attention; or
-
any other act which (in SFi’s opinion) interferes with the safe or effective operation of the Event.
Intellectual Property Rights
With the exception of the Photography and Media Consent Clause , all intellectual property rights in any and all materials made available to you, or generated, produced or obtained by SFi and/or the Event sponsors in relation to the Event, including any photographs, recordings, images, notes, reports, documents, images, texts, brand, trademarks and product names remain and belong to SFi and/or SFi’s licensors. Nothing in these Terms shall be construed as granting you any licence or transferring any intellectual property rights of SFi or its licensors, except to the limited extent necessary for your attendance at the Event and only where such rights are sublicensable by SFi on behalf of the relevant licensors (where applicable and strictly required).
Photography and Media Consent
You may take photos or videos of a limited part of the Event for your personal use only (for the avoidance of doubt, any commercial purpose or use are prohibited).
By entering or otherwise attending an Event, you are entering an area where you acknowledge that photography, audio and video recording may occur. By attending the Event, you:

consent to be photographed, filmed, and/or otherwise recorded and to the release, publication, exhibition, or reproduction of any and all recorded media of your appearance, voice, image (“Recordings”) for any purpose in connection with the Event;

to the maximum extent permissible under applicable law, waive and release any moral rights you may have in the Recordings and Your Materials (as defined in this Clause) and any claims you may have related to the use of the Recordings, including, without limitation, any right to inspect or approve the photo, video or audio recording of you, any claims for invasion of privacy, violation of the right of publicity, defamation, and copyright infringement or for any fees for use of such recorded media;

grant SFi a perpetual, royalty free, sub-licensable, worldwide licence to use Your Materials (as defined in this Clause) and the Recordings with the production, exhibition, advertising or exploitation of any film, video and/or audio recording of the Event (or any part of it), in any media (e.g. in future marketing materials).
If you have any concerns about any of the foregoing matters in this Clause, please notify SFi prior to attending the Event.
If you do not wish to appear in official SFi photography or video, please email events@sustainablefinance.hk prior to the Event or identify yourself to SFi staff upon registration; it shall be your responsibility to avoid designated photo/video areas. SFi will make reasonable efforts to accommodate your preference but cannot guarantee you will not appear in wide shots or crowd photography.
You warrant and undertake that any information and materials submitted to SFi including, for example, your name and contact information or presented by you (in electronic copy or hard copy, verbally, or otherwise) in connection with this Event (“Your Materials”):

are true and accurate to the best of your abilities;

will not violate or infringe any copyright, trademark, or other proprietary rights of any person or entity;
-
have the necessary rights and permissions to grant the licence to us pursuant to this Clause.
Data Protection and Privacy
By registering for an Event, you agree that your personal information as provided in the Registration Form may be collected, processed, used and disclosed by SFi (including SFi's partners and authorised third-party agents) for the purpose of hosting the Event, facilitating payment processing, and for the purposes contained within SFi's Privacy Policy at https://www.sustainablefinance.hk/privacy-policy.
All Ticket Holders will automatically be included in the published Event attendees list. Your profile (name, company and title) will be visible to other Event attendees and Event sponsors. If you wish your profile to be excluded, please notify SFi at events@sustainablefinance.hk at least three (3) Business Days in advance of the Event.
SFi will treat your personal data in accordance with:
-
SFi's Privacy Policy at https://www.sustainablefinance.hk/privacy-policy; and
-
the Hong Kong Personal Data (Privacy) Ordinance (Cap. 486).
Limitation of Liability
To the maximum extent permitted by applicable law, SFi (including its affiliates, directors, employees, partners and sponsors) shall not be liable to you or to any third party, whether in contract, tort (including negligence), under statute or otherwise in connection with these Terms, your Ticket or any Event for:
-
any loss, injury or damage to persons or personal property at the Event;
-
any loss, delay, damage or other liability resulting from or arising in connection with the cancellation, change in the date, venue or agenda of the Event;
-
all implied warranties, representations and terms and conditions; or
-
any loss of production, loss of profit, loss of revenue, loss of contract, loss or corruption of data, loss of goodwill, business interruption or loss of opportunity.
The aggregate liability of SFi under these Terms, in respect of any Event or for any reason, is limited to the total amount of fees paid for the Ticket minus five percent (5%) administration fees retained by SFi.
The views expressed by all speakers, attendees, exhibitors or sponsors at any Event are their own. SFi is not liable for any advice given or views expressed by any speakers, attendees, exhibitors or Event sponsors or in any materials or third-party websites provided to you.
Nothing in this Clause shall limit or exclude SFi's liability for:
-
death or personal injury resulting from SFi's negligence;
-
fraud or fraudulent misrepresentation; or
-
any other liability that cannot be limited or excluded under applicable law.
Indemnification
You agree to be responsible for any loss, damage, or liability SFi suffers that arises from your breach of these Ticket or Event Conditions, or from your unlawful or unsafe conduct at the Event. This includes, for example, damage to property, injury to other attendees, or costs incurred by SFi because of your failure to follow the Event rules.
Force Majeure
SFi is not liable for any delay or failure to perform these Terms (including hosting an Event) to the extent such delay or failure is caused by a Force Majeure Event, provided that SFi has used reasonable endeavours to comply with its obligations under this Clause.
Upon the occurrence of a Force Majeure Event, SFi's obligations to you shall be governed by Cancellations and Refunds Clause.
Upon becoming aware of a Force Majeure Event that may affect the performance of its obligations, SFi shall notify you as soon as reasonably practicable via email and on the Event website. SFi will make reasonable efforts to reduce the impact and resume the Event, but SFi will not be required to take on unreasonable costs, fundamentally change its operations, or put people or property at risk.
If the disruption continues for more than one hundred eighty (180) days and no new date has been proposed, either SFi or the Ticket Holder may treat the Event as cancelled, and SFi’s standard cancellation terms will apply.
General Provisions
These Terms constitute the entire agreement and understanding between you and SFi and supersede all previous agreements, arrangements and understandings relating to the Event. You confirm that you have not relied upon any statement, representation or understanding not expressly set out in these Terms.
Any failure or delay on the part of SFi to enforce any of these Terms shall not constitute a waiver of any of SFi's rights.
If any portion of these Terms is held to be invalid or unenforceable, the remaining portions will remain in full force and effect. Any invalid or unenforceable portions will be interpreted to effect the intent of the original portion. If such construction is not possible, the invalid or unenforceable portion will be severed from these Terms, but the rest will remain in full force and effect.
SFi may assign any of its rights and obligations under these Terms to any third party. You may not assign your rights or obligations under these Terms without SFi's prior written consent.
These Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Ordinance (Cap. 623, Laws of Hong Kong) to enforce any term of these Terms.
SFi may update these Terms at any time for legal or regulatory reasons, or to reflect changes in its services or business practices. The latest version will be available on the relevant Event website and will apply from the date of publishing.
Governing Law and Jurisdiction
These Terms are governed by the laws of Hong Kong Special Administrative Region.
Any disputes arising out of these Terms are subject to the exclusive jurisdiction of the courts of Hong Kong.
