SFi General Terms of Use and Legal Disclaimer

Introduction
By accessing our websites or using our services, you agree to be bound by these Terms of Use and Legal Disclaimer.

Terms of Use

Definitions and Interpretation

"Event" means any event, conference, summit, salon, roundtable or other gathering organised by SFi;
"Impact Services" means SFi's activities, events, exhibitions, products, services and courses;
"Websites" means www.sustainablefinance.hk, www.sfiimpactsummit.com, www.newimpactsociety.com, and any other websites operated by SFi; and
"you" or "your" means any individual who accesses our Websites or uses our services, including the Impact Services.

Unless the context otherwise requires, words in the singular shall include the plural and in the plural shall include the singular.

A reference to legislation or a legislative provision is a reference to it as amended, extended or re-enacted from time to time.

Any words following the terms "including", "include", "in particular", "for example" or any similar expression shall be interpreted as illustrative and shall not limit the sense of the words preceding those terms.

Acceptance of Terms

Your continued access or use of Impact Services or Websites signifies your agreement to these Terms of Use and the Legal Disclaimer (as amended from time to time).

If you do not agree with these Terms of Use and the Legal Disclaimer, please cease accessing or using Impact Services or any Websites.

Suspension or Termination of Access

SFi may suspend access to Impact Services or Websites at any time if SFi is investigating a potential breach of the Terms of Use, or if SFi considers suspension necessary to protect the community.

SFi may terminate access to Impact Services or Websites immediately upon written notice if you:

breach the Terms of Use;
engage in conduct that SFi reasonably considers harmful to the community, other members, or SFi’s reputation;
if applicable, fail to pay the fee contemplated in the Membership Agreement when due; or
act in a manner where SFi determines, in its sole discretion, that is not in the best interests of the SFi community.

Upon termination:

access to Impact Services and Websites will cease;
any outstanding fee contemplated in the Membership Agreement or other charges incurred by SFi on your behalf shall become immediately payable; and
you shall, at SFi’s option, return or destroy any confidential information of SFi.

Permitted Use of Websites

You may only use SFi's Websites for lawful purposes when seeking information and must not use Websites in any way that breaches any applicable laws or is fraudulent or produces any such purpose or effect.

You must not, whether directly or indirectly:

conduct any text or data mining or web scraping using any "robot", "bot", "spider", "scraper" or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or publish any portion of Websites;
undermine the security of Websites or any information submitted to or available on it;
knowingly introduce viruses, trojans, worms, time-bombs, keyloggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of Websites or related software or hardware;
carry out unauthorised access, interfere with, damage or disrupt any part of Websites or any equipment or network on which Websites are stored, or any software used in the provision of Websites;
attack Websites via a denial-of-service attack or distributed denial-of-service attack;
overload the system or server of Websites via spamming or flooding;
take any action or use any device, routine or software to crash, delay, damage or otherwise interfere with the operation of Websites;
decipher, disassemble or modify any of the software, coding or information on Websites or attempt to do any of the aforesaid;
publish defamatory, obscene, offensive, hateful, inflammatory, immoral, discriminatory, violent or illegal contents on Websites.

Modifications and Interruptions to Websites

SFi does not guarantee that Websites, or any material or content on them, will always be available or uninterrupted.

SFi may suspend, withdraw or restrict the availability of all or any part of Websites for business or operational reasons. SFi will try to give you reasonable notice of any interruption, suspension or withdrawal.

SFi reserves the right to revise, modify or update Websites, including its specifications and the contents therein from time to time, without prior notice to you.

Whilst SFi makes every effort to update the information and contents on Websites, SFi makes no representations, warranties or guarantees, whether express or implied, that the information and content on Websites is accurate, complete or up to date.

Linking to Websites

You may link to SFi's Websites, provided that you do so in a way that is fair and legal and does not damage SFi's reputation or take advantage of it.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on SFi's part where none exists.

SFi's Websites must not be framed on any other site.

SFi reserves the right to withdraw linking permission without notice.

Intellectual Property Rights

SFi is the owner of the Websites, including but not limited to all marks (whether registered or unregistered), illustrations, photographs, recordings, images, notes, documents, texts, brands, trademarks and product names, video, audio, design, text, material, logo, graphic thereon, and their entire contents, features and functionality which are protected by copyright and other applicable intellectual property rights or proprietary rights worldwide.

SFi and its licensors further reserve all forms of intellectual property rights in Impact Services provided to you, where applicable.

You must not:

use any part of the content on Websites for commercial purposes without obtaining a licence to do so from SFi;
copy, modify, imitate or re-transmit or use any part of the Websites without SFi's prior written consent; or
use SFi's marks (whether registered or unregistered) without SFi’s prior written consent.

You hereby grant SFi a perpetual, royalty-free, sub-licensable, worldwide licence to use recordings which contain your facial images, appearance and voice in actual or simulated likeness in connection with the production, exhibition, advertising or exploitation of any film, video and audio recording (or any part of it), in any media (e.g., in future marketing materials).

If you have any concerns about photography or recording, please notify SFi at events@sustainablefinance.hk at least three (3) days prior to attending any events in accordance with our Privacy Policy.

Subject to specific terms and conditions governing a specific Event, you may take photos or videos of a limited part of the same for your personal use only. Any commercial purpose of use is strictly prohibited.

General Provisions

Subject to the below, these Terms of Use constitute the entire agreement and understanding between you and SFi and supersede all previous agreements, arrangements and understandings between you and SFi. You confirm that you have not relied upon any statement, representation or understanding not expressly set out in these Terms of Use and that you shall have no remedy in respect of any statement, representation or understanding not expressly set out in these Terms of Use.

To the extent you have signed an SFi Membership Agreement and are a Member (as defined under the Membership Agreement), then the terms of the Membership Agreement constitutes the entire agreement between you as the Member and SFi regarding your membership and supersedes all prior agreements, including these Terms of Use, and any other representations and understandings.

Any failure or delay on the part of SFi to enforce any of these Terms of Use shall not constitute a waiver of any of SFi's rights.

If any portion of these Terms of Use is held to be invalid or unenforceable, the remaining portions will remain in full force and effect. Any invalid or unenforceable portions will be interpreted to effect the intent of the original portion. If such construction is notpossible, the invalid or unenforceable portion will be severed from these Terms of Use, but the rest will remain in full force and effect.

Legal Disclaimer

No Reliance on Information

SFi is a membership community focused on education, networking, and knowledge-sharing in sustainable finance. SFi is not an investment advisor, financial adviser, or broker. SFi does not provide, and nothing in our communications, Events, platforms, materials, information on Websites, or Impact Services constitutes, investment, tax, legal, financial or any other form of regulated professional advice on which you should rely. SFi also does not act as a neutral broker, intermediary or fiduciary in any investment context.

You must obtain independent professional or specialist advice from a suitably qualified and licensed adviser before taking, or refraining from, any action on the basis of Impact Services or any information or materials provided by SFi, including the content on Websites.

Impact Services and all information or materials provided by SFi on Websites is not intended, and should not be used or construed, as a recommendation, endorsement, offer or advice to buy, sell, or hold any investment, a solicitation of any offer to purchase any stock, any other security or any financial instrument, or to provide any investment service or investment advice in any jurisdiction.

SFi merely serves as a platform to provide you with opportunities to connect with other impact investors or stakeholders in the industry, and provides guidance and educational resources to help you consider how to position capital for sustainable outcomes. Any decisions you make based on this guidance is made solely at your own risk and SFi does not guarantee or assume responsibility for:

any particular outcomes from the membership, including access to investment opportunities, returns on any investments, or business relationships;
any dealings the Member has with third parties; or
any products, services, investment opportunities, or information provided by third parties.

Limitation of Liability and Indemnity

To the maximum extent permitted by law, SFi excludes all liability whatsoever and howsoever arising (whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise) in connection with SFi services or the Websites (including any content made available on the Websites), or any interruption, withdrawal, suspension or restriction of SFi services or the Websites (or any part of them).

Without limiting the generality of this limiation of liability and indemnity clause, SFi excludes all warranties, representations, and guarantees (whether express or implied), including any warranty of merchantability, fitness for a particular purpose, or non-infringement in relation to SFi services and the Websites.

Without limiting the generality of this limiation of liability and indemnity clause,, SFi is not liable for any loss or damage of any kind, whether direct, indirect, incidental, special, consequential or punitive, including any loss of profits, revenue, data, business opportunities, anticipated savings or goodwill, arising out of or in connection with SFi services or the Websites, even if SFi has been advised of the possibility of such loss or damage.

Nothing in this clause excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or fraud.

No Warranties

Impact Services, Websites and all information, guidance, and materials provided by SFi are provided on an "as is" and "as available" basis, without any warranty or representation of any kind, whether express or implied, including quality, accuracy, adequacy, legality, completeness, reliability, appropriateness, fitness for a particular purpose, title, or non-infringement.

SFi does not guarantee that our services, including Impact Services, will meet your requirements or expectations, or that the Websites will be uninterrupted, secure, or free of viruses, malicious codes or other defects.

Third-Party Content and Third-Party Links

Websites may include information and materials uploaded or contributed by other users of Websites. This information has not been verified or approved by SFi. The views expressed by other users do not represent SFi's views or values.

Where Websites contain links to other sites or resources provided by third parties, these links are provided for your information only. SFi has no control over the contents of these sites or resources, and the inclusion of any such sites and resources does not imply approval or endorsement by SFi of such sites and resources.

SFi shall not be liable for any loss, whether direct or indirect and howsoever arising from or in respect of any access to, use or misuse of or reliance on such sites and resources, or any interruption or inability to access or use such sites and resources.

Governing Law and Jurisdiction

The Terms of Use and Legal Disclaimer shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region.

Any disputes arising out of or in connection with the Terms of Use or the Legal Disclaimer shall be referred to mediation administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its mediation rules. If the dispute is not resolved within thirty (30) days of referral to mediation (or such longer period as the parties agree), either party may commence court proceedings.

The courts of Hong Kong Special Administrative Region are to have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with the Terms of Use and Legal Disclaimer.
